Disclaimer & Limitation of Liability Statement

This Disclaimer & Limitation of Liability Statement ("Disclaimer") applies to the use of the NexScreening services ("Services") operated by NexGlobal LLC, under NexSystems ("NexScreening," "we," "us," or "our").

This Disclaimer forms an integral part of, and should be read together with, the NexScreening Terms and Conditions, End User License Agreement (EULA), and related policies.

1. Nature and Purpose of the Services

1.1 NexScreening provides technology-based compliance screening services only, including sanctions screening, politically exposed person (PEP) screening, adverse media screening, and passport checks.

1.2 The Services are designed solely to support internal compliance and risk assessment processes.

1.3 NexScreening does not provide legal advice, regulatory advice, financial advice, investigative services, or professional opinions.

2. Informational Use Only

2.1 All screening results, reports, alerts, matches, or indicators generated by the Services are provided for informational purposes only.

2.2 Screening outputs represent potential risk indicators based on available data sources at a given point in time.

2.3 The Services do not constitute findings of fact, determinations, certifications, or conclusions regarding any individual or entity.

3. No Reliance and Independent Judgment

3.1 Customers must exercise independent judgment when interpreting and using screening results.

3.2 NexScreening does not make decisions regarding:

  • compliance with Applicable Law;
  • onboarding, rejection, or termination of relationships;
  • regulatory reporting or escalation.

3.3 All decisions taken based on the Services remain the sole responsibility of the Customer.

4. Data Limitations and Accuracy Disclaimer

4.1 NexScreening uses commercially reasonable efforts to enhance data credibility and reliability.

4.2 However, due to the nature of compliance data:

  • information may be incomplete, inaccurate, or outdated;
  • false positives and false negatives may occur;
  • data availability and coverage may vary by jurisdiction.

4.3 NexScreening does not guarantee the accuracy, completeness, or timeliness of any Content.

5. Passport Check Disclaimer

5.1 Passport checks provided by NexScreening are limited to data consistency, reference, and format analysis.

5.2 The Services do not:

  • authenticate identity documents;
  • verify the legitimacy of passports;
  • confirm the identity of document holders.

5.3 Passport check results must not be relied upon as proof of identity or document authenticity.

6. No Regulatory or Legal Guarantee

6.1 Use of the Services does not guarantee:

  • compliance with AML, sanctions, or other regulatory obligations;
  • acceptance by regulators, auditors, or supervisory authorities;
  • avoidance of regulatory scrutiny, penalties, or enforcement actions.

6.2 Regulatory expectations vary by jurisdiction and remain the Customer's responsibility.

7. Third-Party and Open-Source Data Disclaimer

7.1 The Services may incorporate data from publicly available, licensed, or open-source sources.

7.2 NexScreening does not control the creation or publication of such data.

7.3 NexScreening disclaims liability arising from errors, omissions, or inaccuracies originating from third-party or open-source data.

8. No Warranty

8.1 To the maximum extent permitted by Applicable Law, the Services are provided on an "as is" and "as available" basis.

8.2 NexScreening expressly disclaims all warranties, whether express or implied, including:

  • warranties of merchantability;
  • fitness for a particular purpose;
  • non-infringement.

9. Limitation of Liability

9.1 To the maximum extent permitted by Applicable Law, NexGlobal shall not be liable for any indirect, incidental, consequential, punitive, or special damages, including but not limited to:

  • loss of profits;
  • loss of business or opportunity;
  • regulatory penalties or fines;
  • reputational damage.

9.2 NexGlobal's total aggregate liability arising out of or relating to the Services shall not exceed the fees paid by the Customer in the twelve (12) months preceding the event giving rise to the claim, unless otherwise expressly agreed in writing.

10. Allocation of Risk

10.1 The Customer acknowledges that:

  • the Services are compliance support tools, not decision engines;
  • reliance risks are inherent in screening technologies;
  • this Disclaimer reflects a fair allocation of risk between the parties.

10.2 Fees charged for the Services reflect this allocation of risk.

11. No Waiver of Mandatory Rights

Nothing in this Disclaimer limits or excludes liability that cannot be limited or excluded under Applicable Law.

12. Governing Law

This Disclaimer is governed by the laws of the State of Wyoming, United States of America, without regard to conflict of law principles.
