NexScreening – A NexSystems Product, owned and operated by NexGlobal (Wyoming, USA)

Introduction

This End User License Agreement ("EULA") governs access to and use of NexScreening, a compliance screening platform provided as a service by NexGlobal, a company incorporated in the State of Wyoming, United States of America, and operated under its NexSystems division.

NexScreening is designed to support organizations in performing sanctions screening, politically exposed person (PEP) screening, adverse media screening, and passport verification checks, delivered via a web-based interface and application programming interfaces (APIs). The Software is intended to assist regulated and non-regulated entities in meeting internal compliance, risk management, and due diligence objectives.

The Software does not provide legal determinations, regulatory approvals, certifications, or guarantees of compliance. NexScreening is a supporting compliance intelligence tool, not a substitute for human judgment, internal governance, or independent legal and regulatory advice.

By accessing or using the Software in any manner, including through the website or APIs, the End User confirms that it has read, understood, and agreed to be bound by this EULA. If the End User does not agree, it must not access or use the Software.

This EULA reflects a deliberate allocation of responsibilities, risks, and limitations consistent with industry standards for compliance technology providers and is a condition of access to NexScreening.

1. Definitions and Interpretation

1.1 Definitions

For the purposes of this EULA, the following terms shall have the meanings set out below:

  • "Software" means the NexScreening platform, including all associated interfaces, APIs, processing engines, workflows, databases, and technical components.
  • "Services" means the compliance screening services provided through the Software, including sanctions screening, PEP screening, adverse media screening, and passport checks.
  • "End User" means the legal entity or individual that accesses or uses the Software, whether directly or through Authorized Users.
  • "Authorized Users" means employees, contractors, or agents of the End User who are permitted to access the Software on the End User's behalf.
  • "Content" means screening outputs, alerts, match results, metadata, and related information generated by the Software.
  • "Applicable Law" means all laws, regulations, sanctions regimes, and legal requirements applicable to the End User or NexGlobal.

These definitions apply throughout this EULA and survive termination where necessary for interpretation or enforcement.

1.2 Interpretation Principles

Headings are used for convenience only and do not affect interpretation. Words in the singular include the plural and vice versa. References to "including" shall be construed as "including without limitation." References to laws include amendments and replacements thereof. No presumption shall apply against the drafter of this EULA. This EULA shall be interpreted in a manner consistent with its commercial purpose as a compliance technology license.

2. Scope of the Software and Services

2.1 Description of Services Provided

NexScreening provides access to automated compliance screening capabilities, limited to sanctions lists screening, politically exposed person identification, adverse media detection, and passport verification checks. These Services are delivered through a centralized platform accessible via a web interface or APIs. All Services are included across available subscription packages unless otherwise expressly stated. The Software processes data submitted by the End User and returns structured outputs based on available data sources. The scope of Services is limited to screening and informational support. No investigative, adjudicative, or enforcement functions are provided.

2.2 Exclusions from Scope

The Software does not provide identity verification, biometric authentication, legal opinions, or regulatory certifications. The Software does not confirm the legal status, innocence, guilt, or compliance standing of any person or entity. NexGlobal does not conduct enhanced due diligence, investigations, or background checks beyond automated screening. The Software does not replace internal compliance programs, policies, or controls. Any use of the Software outside the described scope is unauthorized. Responsibility for determining suitability rests with the End User.

2.3 No Expansion of Scope by Practice

Use of the Software in a particular manner does not expand the scope of Services. Custom integrations, configurations, or workflows do not alter the nature of the Services. NexGlobal does not assume additional obligations through silence or course of dealing. Any expansion of scope requires a separate written agreement. Informal guidance does not modify this EULA. This clause prevents implied service expansion.

2.4 Access Channels

The Software may be accessed via a web-based user interface or APIs. Access methods may be modified, restricted, or discontinued over time. API access is subject to technical and security requirements. The End User is responsible for maintaining compatible systems. NexGlobal does not guarantee perpetual availability of any access channel. Access is granted as a revocable license, not a right.

2.5 Informational Character of Services

All Services are provided on an informational basis only. Outputs are indicators, not determinations. The End User must apply independent review and judgment. The Software does not make decisions on behalf of the End User. Regulatory responsibility remains with the End User. This principle applies uniformly across all Services.

2.6 Reservation of Rights

All rights not expressly granted are reserved by NexGlobal. Provision of Services does not imply additional rights. NexGlobal may refine or limit Services to manage risk. No exclusivity is granted. Access is conditional on ongoing compliance with this EULA. This clause is fundamental to the license.

3. Permitted Uses

3.1 Permitted Use for Internal Compliance Purposes

The End User may use the Software and Services solely for the End User's internal business compliance and risk management purposes. This includes using the Services as part of onboarding, periodic review, transaction monitoring support, or case management workflows. Use must be consistent with the End User's documented AML/CTF/sanctions compliance policies and internal governance requirements. The End User must ensure that use of the Services is performed by appropriately trained personnel exercising professional judgment. The End User acknowledges that the Services are an input into decision-making and not a substitute for compliance controls. Any use outside internal compliance purposes (including offering screening as a service to third parties) is prohibited unless NexGlobal approves in writing.

3.2 Permitted Screening Activities

The End User may submit data to the Services to perform the following screening activities: sanctions screening, PEP screening, adverse media screening, and passport checks. Such screening may be performed for natural persons and legal entities, subject to Applicable Law and the End User's lawful basis for processing. The End User may configure searches using identifiers such as names, dates of birth, nationality, and other attributes supported by the Software. The End User may use the Services to generate potential match results and supporting indicators for internal review and escalation. The End User must not use the Services to generate "blacklists," discriminatory decision rules, or automated denial outcomes without independent review. The End User is responsible for ensuring data submitted is accurate and relevant to the screening purpose.

3.3 Permitted Use via the Website Interface

The End User may access the Services via the NexScreening website interface using approved credentials and authentication methods. The End User may view, filter, and export results as permitted by the Software's features and the End User's subscription configuration. The End User may create and manage internal cases, notes, and audit trails where such features are made available. The End User may generate reports for internal compliance review and regulatory audit preparation, subject to confidentiality restrictions. The End User must secure all sessions, protect login credentials, and ensure that only Authorized Users access the account. The End User may not attempt to bypass UI controls, access hidden endpoints, or exploit the website in any manner.

3.4 Permitted Use via API Integration

Where API access is provided, the End User may integrate the Services into its internal systems to submit screening requests and receive responses. API use must follow the Documentation, including authentication requirements, request formats, and operational guidance issued by NexGlobal. The End User may implement internal logic to route API results into compliance workflows, case tools, and internal alerting mechanisms. The End User must implement appropriate security controls for API keys, including access restriction, rotation, and secure storage practices. The End User must comply with any stated rate limits, quotas, and technical usage constraints to protect system integrity and availability. API use may not be used to enable public-facing access, unmanaged third-party access, or "screening-as-a-service" without written authorization.

3.5 Permitted Recordkeeping and Audit Use

The End User may retain Content and outputs for legitimate compliance recordkeeping, audit trails, regulatory inquiries, and internal governance. Retention must be consistent with Applicable Law, the End User's retention schedules, and relevant regulatory expectations in the End User's jurisdiction. The End User may store evidence of screening actions, review outcomes, and case decisions to demonstrate compliance process completeness. The End User remains responsible for ensuring retained records are protected against unauthorized access and handled securely. The End User must not retain or reuse Content beyond what is necessary for compliance purposes or longer than required by law or policy. NexGlobal does not guarantee that retained outputs will remain unchanged if underlying sources are updated after the screening date.

3.6 Permitted Internal Sharing

The End User may share Content internally only with personnel who have a legitimate need-to-know for compliance, audit, or risk management. Internal sharing must be controlled, logged where feasible, and restricted to Authorized Users or designated compliance functions. The End User may share outputs with internal legal counsel, compliance officers, auditors, or risk committees for review and escalation. The End User must ensure that internal recipients treat Content as confidential and use it only for compliance-related purposes. The End User shall not publish Content internally for general access (e.g., company-wide directories) or non-compliance departments. Any internal sharing must comply with privacy and employment laws, including rules against discriminatory profiling.

3.7 Permitted External Disclosures

The End User may disclose limited Content externally only when necessary for lawful compliance purposes, such as responding to regulators, auditors, or lawful requests. External disclosure must be restricted to the minimum necessary information and conducted in accordance with Applicable Law and confidentiality obligations. The End User should avoid disclosing full datasets, detailed matching logic, or system outputs unless specifically required. Where legally permitted, the End User should notify NexGlobal of material regulatory or legal requests involving the Software or Content. The End User remains solely responsible for the legality of external disclosures and for safeguarding Personal Data. Nothing in this EULA obligates NexGlobal to provide testimony, expert support, or regulatory confirmations about End User decisions.

3.8 Conditions Attached to All Permitted Uses

All permitted uses are conditional upon ongoing compliance with this EULA, the Documentation, and any security or operational requirements issued by NexGlobal. Permitted use does not include any rights to copy, replicate, scrape, resell, redistribute, or commercialize the Software or Content. Permitted use requires that End User decisions remain independent and that the Services are not treated as definitive or authoritative determinations. The End User must ensure proper governance, including trained reviewers and escalation procedures for potential matches. The End User must ensure a lawful basis for processing and compliance with privacy laws when submitting Personal Data for screening. Any violation of these conditions may result in immediate suspension or termination of access and license rights.

4. License Restrictions and Prohibited Conduct

4.1 General Restrictions on Use

The End User shall use the Software and Services strictly within the scope of the license granted under this EULA. Any use that exceeds, circumvents, or conflicts with the permitted scope constitutes unauthorized use. The End User must not attempt to use the Software in a manner that undermines NexGlobal's business model, licensing framework, or compliance positioning. Unauthorized use includes any activity that exposes NexGlobal to legal, regulatory, security, or reputational risk. The End User acknowledges that compliance screening software is sensitive by nature and must be handled responsibly. Any breach of license restrictions may result in immediate suspension or termination without prior notice.

4.2 Prohibition on Reverse Engineering and Technical Interference

The End User shall not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, logic, or data structures of the Software. This restriction applies whether such actions are performed directly or indirectly, manually or through automated tools. The End User shall not analyze system responses, timing, or output patterns for the purpose of reconstructing internal methodologies. The End User must not interfere with system integrity, performance, or security through probing, testing, or stress activities without authorization. Any attempt to bypass safeguards, authentication mechanisms, or usage controls is strictly prohibited. Such conduct shall be deemed a material breach of this EULA and may also constitute unlawful activity.

4.3 Prohibition on Data Scraping, Harvesting, and Replication

The End User shall not scrape, harvest, copy, extract, download, or otherwise reproduce Content or data from the Software in bulk or systematically. This includes automated extraction through scripts, bots, crawlers, or similar technologies, whether via the Website or API. The End User shall not build local, internal, or external databases that replicate or approximate the Software's datasets. The End User may not use incremental queries or repeated requests to reconstruct underlying data sources. Any attempt to mirror, cache, or persist large portions of Content beyond permitted recordkeeping is prohibited. Such conduct undermines intellectual property protections and may result in immediate termination and legal action.

4.4 Prohibition on Resale, Sublicensing, and Third-Party Access

The End User shall not resell, sublicense, lease, distribute, or otherwise make the Software or Services available to any third party. This includes offering screening functionality as part of a managed service, platform, or bundled product. The End User may not permit customers, affiliates, partners, or external users to directly access the Software or APIs. Use of the Services as "screening-as-a-service" or within a service bureau model is strictly prohibited without written authorization. The End User shall not white-label, brand, or repackage the Software or its outputs. Any unauthorized third-party access constitutes a material breach of this EULA.

4.5 Prohibition on Competitive Use

The End User shall not use the Software or Content to develop, enhance, benchmark, or support competing products or services. This includes using the Software for market analysis, reverse comparison, or competitive intelligence. The End User may not use screening outputs to train machine learning models intended for competing compliance tools. The End User may not combine Content with other datasets to recreate or substitute compliance screening databases. Any use that enables replication of NexScreening's value proposition is strictly prohibited. Violation of this clause may result in injunctive relief in addition to termination.

4.6 Prohibition on Misrepresentation and Improper Reliance

The End User shall not represent screening results as definitive, verified, or authoritative determinations. The End User must not state or imply that NexGlobal has approved, endorsed, or validated any decision taken by the End User. The End User shall not use Content as evidence of criminal activity, legal liability, or regulatory breach. The End User must not present the Software as a substitute for compliance judgment or regulatory obligations. Misrepresentation of the Services may expose NexGlobal to third-party claims and is strictly prohibited. Any such conduct constitutes a material breach of this EULA.

4.7 Prohibition on Unlawful or Discriminatory Use

The End User shall not use the Software for unlawful surveillance, profiling, or monitoring. The End User must not use screening results in a discriminatory, abusive, or unethical manner. Use of the Software must comply with employment, privacy, human rights, and anti-discrimination laws. The End User shall not implement automated decision-making without appropriate human review where required by law. The End User bears sole responsibility for ensuring fairness, proportionality, and legality of decisions. Any unlawful or discriminatory use may result in immediate termination and potential reporting to authorities.

4.8 Prohibition on Security Misuse

The End User shall not attempt to gain unauthorized access to accounts, data, or systems. The End User shall not introduce malware, malicious code, or harmful processes into the Software. The End User must not share credentials, API keys, or authentication tokens beyond Authorized Users. Any suspected compromise must be reported to NexGlobal without undue delay. Security misuse may result in immediate access revocation to protect system integrity. Such actions may also give rise to civil or criminal liability.

4.9 Enforcement and Remedies

NexGlobal reserves the right to investigate suspected violations of this Clause 4. NexGlobal may suspend or terminate access while an investigation is ongoing. NexGlobal may require remedial actions, technical changes, or certifications of compliance. Repeated or serious violations may result in permanent termination of the license. NexGlobal reserves all legal and equitable remedies available under Applicable Law. Failure to enforce a restriction does not constitute a waiver of NexGlobal's rights.

4.10 Survival

All restrictions and prohibitions set out in this Clause 4 shall survive termination or expiration of this EULA.

5. User Accounts, Credentials, and Security

5.1 Account Creation and Registration

Access to the Software requires the creation of one or more user accounts approved by NexGlobal. The End User must ensure that all registration information provided is accurate, complete, and kept up to date. Accounts may be created for individuals acting on behalf of the End User, subject to authorization and role assignment. NexGlobal reserves the right to approve, reject, suspend, or revoke accounts at its discretion. The End User acknowledges that account access is a prerequisite to traceability, auditability, and compliance oversight. Misrepresentation during registration constitutes a material breach of this EULA.

5.2 Authorized Users and Role Management

The End User shall designate only appropriately trained and authorized individuals as Authorized Users. Access rights must be assigned on a least-privilege basis, consistent with the user's role and responsibilities. The End User is responsible for defining, managing, and reviewing user roles and permissions on a regular basis. The End User must promptly revoke access for users who no longer require it, including departing employees or contractors. All actions taken by Authorized Users are deemed actions of the End User. Failure to manage user access appropriately may result in suspension of accounts or Services.

5.3 Credential Confidentiality and Protection

The End User is responsible for maintaining the confidentiality of all login credentials, passwords, API keys, and authentication tokens. Credentials must not be shared, reused across systems, or disclosed to unauthorized persons. The End User shall implement reasonable security practices, including strong passwords and periodic credential rotation where supported. The End User must ensure credentials are stored securely and protected against unauthorized access or compromise. Any activity conducted using valid credentials will be presumed to be authorized by the End User. NexGlobal shall not be liable for losses resulting from credential misuse or compromise attributable to the End User.

5.4 Authentication and Access Controls

NexGlobal may implement authentication mechanisms, including multi-factor authentication, session controls, and access logging. The End User agrees to comply with all authentication requirements imposed by the Software. The End User shall not attempt to bypass, weaken, or disable authentication or access control mechanisms. Access may be restricted by geography, IP address, device, or other security parameters. NexGlobal may update authentication requirements to address evolving security risks. Failure to comply with access controls may result in temporary or permanent access restriction.

5.5 Security Responsibilities of the End User

The End User shall implement appropriate internal security measures to protect systems that interface with the Software. This includes securing endpoints, networks, and internal applications used to access the Website or APIs. The End User must ensure that integrations do not introduce vulnerabilities or expose the Software to risk. The End User shall monitor internal usage for suspicious or unauthorized activity. The End User remains responsible for security incidents arising from its own systems or personnel. NexGlobal does not assume responsibility for the End User's internal security environment.

5.6 API Credentials and Technical Security

Where API access is provided, API credentials must be treated as highly sensitive security information. The End User shall restrict API credentials to specific applications or services and avoid hard-coding credentials in source code. The End User shall rotate API keys where supported and immediately revoke compromised credentials. API usage must comply with technical documentation, rate limits, and security guidance issued by NexGlobal. The End User must not share API access with third parties or external systems without authorization. Misuse of API credentials may result in immediate revocation of API access.

5.7 Security Incident and Breach Notification

The End User shall notify NexGlobal without undue delay upon becoming aware of any suspected or actual security incident. This includes unauthorized access, credential compromise, data exposure, or misuse of the Software. The End User shall provide reasonable cooperation and information to support investigation and remediation. NexGlobal may suspend access to affected accounts or Services to mitigate risk. Notification does not relieve the End User of responsibility for the incident or its consequences. The End User remains responsible for any legally required notifications to regulators or data subjects.

5.8 Monitoring and Protective Measures

NexGlobal may monitor usage patterns and access logs to detect misuse, fraud, or security threats. Monitoring activities shall be conducted in accordance with Applicable Law and privacy obligations. NexGlobal may implement automated controls to limit or block suspicious activity. Protective measures may include rate limiting, access throttling, or account suspension. Such measures are intended to protect the integrity, availability, and confidentiality of the Software. NexGlobal shall not be liable for impacts arising from security-related protective actions.

5.9 Consequences of Security Non-Compliance

Failure to comply with this Clause 5 may result in suspension or termination of accounts or license rights. Repeated or serious security violations may lead to permanent revocation of access. Security non-compliance may also expose the End User to regulatory or legal consequences. NexGlobal reserves the right to require remedial actions or certifications of compliance. The End User acknowledges that security obligations are fundamental to the license grant. These obligations survive termination to the extent necessary to protect NexGlobal and the Software.

5.10 Survival

All obligations relating to security, credential protection, and account responsibility under this Clause 5 shall survive termination or expiration of this EULA.

6. API Access and Technical Use Conditions

6.1 Grant of API Access

Where NexGlobal provides API access, such access is granted as part of the licensed use of the Software and is subject to this EULA and the applicable Documentation. API access is optional and may be enabled or disabled at NexGlobal's discretion based on subscription level, technical readiness, or risk assessment. The API is provided solely to enable programmatic submission of screening requests and retrieval of results for internal compliance purposes. The End User acknowledges that API access is a privilege and not an entitlement. NexGlobal may condition API access on additional security or technical requirements. API access may be revoked at any time for non-compliance, security concerns, or operational risk.

6.2 Compliance with API Documentation

The End User shall use the API strictly in accordance with the Documentation provided by NexGlobal. This includes compliance with defined request formats, authentication methods, response handling, and error management practices. The End User must ensure that integrations are properly tested and maintained to avoid malformed requests or excessive failures. Any deviation from the Documentation may result in degraded performance or rejection of requests. NexGlobal does not guarantee compatibility with undocumented or unsupported usage patterns. Failure to comply with the Documentation constitutes misuse of the API.

6.3 Rate Limits, Quotas, and Usage Controls

API usage may be subject to rate limits, quotas, concurrency limits, or other technical restrictions. These limits are designed to protect system stability, availability, and fair use across customers. The End User must implement internal controls to respect rate limits and avoid excessive or abusive request patterns. Repeated violations of rate limits may result in throttling, temporary suspension, or permanent revocation of API access. NexGlobal may adjust limits from time to time without liability. The End User remains responsible for monitoring and managing its own API consumption.

6.4 Security Requirements for API Integrations

The End User shall implement appropriate technical and organizational measures to secure all API integrations. This includes protecting API credentials, securing network communications, and validating inbound and outbound data. API calls must be transmitted over secure channels using encryption mechanisms specified by NexGlobal. The End User must prevent unauthorized systems or users from invoking the API. Any compromise of API credentials must be reported to NexGlobal immediately. Security weaknesses in the End User's integration environment remain the End User's responsibility.

6.5 Data Handling and Integrity

The End User is responsible for ensuring that data submitted via the API is accurate, relevant, and lawfully processed. The End User must validate input data to prevent injection of malformed or malicious content. The End User must handle API responses responsibly and ensure that Content is stored and processed securely. NexGlobal does not guarantee data integrity once Content is transmitted outside its systems. The End User must ensure that downstream systems do not misuse or misinterpret API outputs. Any data corruption or loss arising from the End User's systems is not NexGlobal's responsibility.

6.6 Versioning and Backward Compatibility

NexGlobal may update, modify, or version the API from time to time. Reasonable efforts may be made to maintain backward compatibility, but such compatibility is not guaranteed. The End User is responsible for monitoring API change notices and updating integrations accordingly. Deprecated endpoints or features may be removed after reasonable notice. NexGlobal shall not be liable for integration failures caused by outdated or unsupported API usage. Continued API use constitutes acceptance of updated specifications.

6.7 Prohibited API Uses

The End User shall not use the API to enable public-facing access, unmanaged third-party access, or automated consumer services. The API must not be used to provide screening services to third parties without written authorization. The End User shall not use the API to scrape, harvest, or reconstruct underlying datasets. The End User shall not attempt to infer or reverse engineer screening logic through repeated API calls. Any attempt to bypass safeguards through the API is strictly prohibited. Such conduct may result in immediate termination of API access.

6.8 Monitoring, Auditing, and Enforcement

NexGlobal may monitor API usage to ensure compliance with this EULA and to detect misuse or security threats. Monitoring may include analysis of request volumes, patterns, and error rates. NexGlobal may audit API usage where reasonably necessary to assess compliance. The End User agrees to cooperate with reasonable requests relating to API compliance. Non-compliant usage may trigger enforcement actions, including suspension or termination. Monitoring activities shall be conducted in accordance with Applicable Law.

6.9 Suspension or Termination of API Access

NexGlobal may suspend or terminate API access immediately where necessary to protect security, system integrity, or legal compliance. Suspension may be partial or complete and may apply without prior notice. Termination of API access does not necessarily terminate the broader license unless stated otherwise. The End User shall promptly cease all API calls upon suspension or termination. NexGlobal shall not be liable for losses arising from API suspension or termination. The End User remains responsible for all obligations accrued prior to suspension.

6.10 Survival

All obligations relating to API use, security, restrictions, and enforcement under this Clause 6 shall survive termination or expiration of this EULA.

Governing Law

This EULA, and any dispute, claim, or obligation arising out of or in connection with it, shall be governed by and construed exclusively in accordance with the laws of the State of Wyoming, United States of America. This governing law applies without regard to any conflict of laws principles that would require application of the laws of another jurisdiction.

Subject to equitable relief provisions, the End User irrevocably agrees that state and federal courts located within the State of Wyoming shall have exclusive jurisdiction to hear and determine any dispute arising out of or relating to this EULA.

Survival

The End User acknowledges that certain obligations under this EULA are, by their nature, intended to continue beyond termination or expiration. Termination of access to the Software does not nullify responsibilities already incurred or risks already allocated.

Without limitation, the following provisions shall survive termination or expiration of this EULA:

  • Definitions and interpretation provisions necessary for enforcement
  • Intellectual Property Rights
  • Confidentiality and Non-Disclosure
  • Data Protection and Privacy obligations
  • Use of Content and Outputs (including non-reliance provisions)
  • Disclaimers of Warranties
  • Limitation of Liability
